This Policy forms part of our Terms and Conditions. By using the Platform, you agree to the practices described in this Policy.

• Date of birth (for age verification where required)

• Profile photo and biography (if provided)
• Course content and materials (for Instructors)
• Communications with our support team
• Responses to surveys or feedback forms

2.2 Payment Information

Payments are processed by secure third-party payment processors. We do not store full credit or debit card numbers on our servers. Payment processors collect and handle payment data under their own privacy policies and applicable financial regulations. We retain only transaction records necessary for accounting and dispute resolution.

2.3 Information Collected Automatically

When you use the Platform, we automatically collect:

• IP address and approximate location
• Device type, model, and operating system
• Browser type and version
• Referring URLs and navigation paths
• Pages visited and time spent on each
• Course progress and learning activity timestamps
• Session and log data

This data is used to operate, secure, and improve the Platform.

2.4 Course Activity Data

To deliver our services, enforce our Refund Policy, and resolve disputes, we collect:

• Percentage of content viewed or completed
• Quiz attempts and scores
• Video watch time and interaction data
• Certificate issuance records

This data is essential to platform functionality and cannot be opted out of while using the Platform.

2.5 AI-Related Data

Because HooLearn integrates artificial intelligence tools:

• Inputs you or Instructors provide to AI-powered features may be processed by AI systems.
• AI-generated outputs may be stored for quality assurance and service improvement.
• We do not use your private course content or personal communications to train public AI models without your explicit consent.
• You may contact us to request information about how your data is used in AI processes.

2.6 Cookies and Tracking Technologies

We use cookies and similar technologies including pixels and local storage. For full details, see Section 9 below.

3. LEGAL BASIS FOR PROCESSING YOUR DATA

Where required by applicable law (including GDPR for users in the European Union), we process your personal data on the following legal bases:

• Contractual necessity — to create and manage your Account, deliver courses, process payments, and fulfill our obligations to you.
• Legitimate interests — to improve our services, prevent fraud, ensure platform security, and conduct analytics, provided these interests are not overridden by your rights.
• Legal obligation — to comply with applicable laws, tax requirements, court orders, and regulatory demands.
• Consent — where we ask for your permission, such as for marketing communications or optional AI features. You may withdraw consent at any time without affecting the lawfulness of prior processing.

4. HOW WE USE YOUR INFORMATION

We use the information we collect to:

• Create and manage your Account
• Deliver purchased courses and issue certificates
• Process payments and manage billing
• Manage Instructor monetization and revenue payments
• Personalize course recommendations and learning experience
• Operate AI-assisted features and improvements
• Send transactional communications (receipts, account alerts, course updates)
• Send marketing communications where you have consented
• Handle complaints, refund requests, and disputes
• Monitor for and prevent fraud, abuse, and policy violations
• Comply with legal and regulatory obligations
• Improve platform performance, security, and features

We do not use your data for purposes incompatible with those stated above without notifying you and, where required, obtaining your consent.

5. DATA SHARING AND DISCLOSURE

We do not sell your personal data. We may share your data only in the following circumstances:

• Service providers — third-party vendors who assist us in operating the Platform, including payment processors, cloud hosting providers, email delivery services, analytics providers, and customer support tools. All are bound by data processing agreements and required to maintain appropriate security standards.
• Instructors — limited learner data (such as enrollment status and course progress) may be shared with the relevant Instructor to facilitate course delivery and communication.
• Legal authorities — where required by law, court order, or regulatory authority, we may disclose your data. We will notify you where legally permitted to do so.
• Business transfers — in the event of a merger, acquisition, or sale of assets, your data may be transferred. You will be notified in advance and your rights under this Policy will continue to apply.
• With your consent — for any other purpose, only with your explicit prior consent.

We do not share your data with advertisers or allow third parties to use your data for their own marketing purposes.

6. DATA RETENTION

We retain your personal data only for as long as necessary for the purposes for which it was collected, or as required by law. Specifically:

• Account data — retained for the duration of your account and for up to 5 years after closure for legal and accounting purposes.
• Transaction and payment records — retained for up to 7 years to comply with financial and tax regulations.
• Course activity data — retained for the duration of your access and for up to 2 years after your last activity for dispute resolution purposes.
• Support communications — retained for up to 3 years from the date of resolution.
• Marketing consent records — retained until consent is withdrawn plus 1 year.

When data is no longer required, we securely delete or anonymize it.

7. DATA SECURITY

We implement industry-standard technical and organizational measures to protect your personal data, including:

• Encrypted data transmission using TLS/SSL protocols
• Secure server infrastructure with access control restrictions
• Role-based access controls limiting who can access personal data internally

No system is entirely secure. We cannot guarantee absolute security, and you use the Platform at your own risk with regard to security.

Depending on your jurisdiction, you may have the following rights regarding your personal data:

• Right to rectification — request correction of inaccurate or incomplete data.
• Right to erasure — request deletion of your data, subject to legal retention obligations.

• Right to object — object to processing based on legitimate interests or for direct marketing purposes.

If you are located in the EU and are unsatisfied with our response, you have the right to lodge a complaint with your local data protection authority.

9. COOKIES AND TRACKING TECHNOLOGIES

We use cookies and similar technologies to operate and improve the Platform. Cookies are small text files stored on your device.

Types of cookies we use:

• Strictly necessary cookies — required for the Platform to function. These cannot be disabled.
• Performance and analytics cookies — help us understand how Users interact with the Platform so we can improve it.
• Functional cookies — remember your preferences and settings for a better experience.
• Marketing cookies — used to deliver relevant promotional content where you have consented.

You may manage your cookie preferences through your browser settings or our cookie consent tool. Disabling certain cookies may affect Platform functionality.

10. CHILDREN'S PRIVACY

The Platform is not directed at children under the age of 13, or under the minimum age required by the laws of your jurisdiction (whichever is higher). We do not knowingly collect personal data from children without verified parental or guardian consent.

If you are a parent or guardian and believe your child has provided personal data without your consent, please contact us immediately at contact@hoolearn.net. We will promptly investigate and, where confirmed, delete the relevant data.

11. INTERNATIONAL DATA TRANSFERS

HooLearn operates globally and your personal data may be transferred to, stored in, and processed in countries outside your country of residence, including countries that may have different data protection standards.

Where we transfer data from the European Economic Area (EEA) or other jurisdictions with strict transfer rules to countries not deemed adequate by relevant authorities, we rely on appropriate safeguards such as Standard Contractual Clauses (SCCs) approved by the European Commission, or equivalent mechanisms recognized under applicable law.

By using the Platform, you acknowledge that your data may be processed internationally as described in this Policy.

12. ACCOUNT DELETION

You may request deletion of your Account at any time by contacting contact@hoolearn.net or through your Account settings. Upon deletion:

• Your access to the Platform and purchased courses will be terminated.
• Your public profile and content will be removed from the Platform.
• Certain data will be retained for the periods described in Section 6 above, to comply with legal, accounting, and fraud-prevention obligations.
• Anonymized or aggregated data derived from your activity may be retained for analytics purposes.

Requests are typically processed within 30 days.

13. THIRD-PARTY LINKS AND SERVICES

The Platform may contain links to third-party websites or integrate third-party tools. This Policy does not apply to those third parties. We encourage you to review the privacy policies of any third-party services you access through the Platform. HooLearn is not responsible for the privacy practices of third parties.

14. CHANGES TO THIS PRIVACY POLICY

We may update this Privacy Policy from time to time to reflect changes in our practices, legal requirements, or Platform features. Where changes are material, we will notify you by:

• Email to your registered address
• Prominent notice on the Platform
• In-app notification

The updated Policy will display the revised "Last Updated" date at the top. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Policy. If you do not agree, you must cease using the Platform and may request account deletion.

⚠ IMPORTANT — PLEASE READ CAREFULLY

This End User License Agreement ("Agreement") is a legally binding contract between you ("User") and HooYia Co. Ltd., the operator of the HooLearn platform. By creating an account, accessing any content, or using any service offered by HooLearn, you confirm that you have read, understood, and agree to be bound by the entirety of this Agreement without reservation. If you do not agree, you must immediately cease all use of the Platform and must not create an account.

PARTIES TO THIS AGREEMENT

This Agreement is entered into between:

AND

The User ("Licensee") Any individual or legal entity that has created an account or is using HooLearn's services, whether as a Learner, Instructor, or visitor.

ARTICLE 1 — PURPOSE OF THIS AGREEMENT

This Agreement defines the terms under which HooLearn grants the User a license to access and use the services, features, and content available on the HooLearn Platform. Specifically, this Agreement governs:

• Access to the Platform and its features
• Use of educational content available on the Platform
• Publication and distribution of content by Instructors
• Use of AI-assisted creation tools
• All interactions between Users within the HooLearn ecosystem

ARTICLE 2 — DEFINITIONS

The following terms have specific meanings throughout this Agreement:

• "Platform" — all digital services, interfaces, mobile applications, and tools offered under the HooLearn brand, accessible at https://hoolearn.net and any mobile or derivative version thereof.
• "Educational Content" — any course, module, video, audio file, quiz, document, project, or resource made available or created on the Platform, whether produced by a human Instructor or generated by artificial intelligence.
• "User" — any individual or legal entity accessing the Platform, regardless of their status (Learner, Instructor, visitor, or administrator).
• "Learner" — a registered User who accesses training content for the purposes of learning.
• "Instructor" / "Creator" — a User authorized to produce, publish, and monetize Educational Content on the Platform.
• "Account" — the secure personal space created by a User to access Platform services.
• "License" — the non-exclusive, limited, and revocable right of use granted by HooLearn to the User under this Agreement.
• "Personal Data" — any information that directly or indirectly identifies a User, as defined under applicable data protection law including the GDPR.
• "AI" or "Artificial Intelligence" — algorithmic systems integrated into the Platform that enable the automated generation, recommendation, or personalization of educational content.
• "AI-Generated Content" — Educational Content produced in whole or in part by the Platform's AI systems.
• "Intellectual Property" — all copyrights, neighboring rights, trademarks, patents, know-how, and other intellectual property rights held by HooLearn or by Instructors.
• "Certification" — any attestation, diploma, or document issued by HooLearn in recognition of the completion of a training course.
• "Subscription" — a recurring paid plan granting access to Platform features or content for a defined billing period.

ARTICLE 3 — GRANT OF LICENSE

3.1 License Granted to Learners

Subject to payment of applicable fees and compliance with this Agreement, HooLearn grants each Learner a personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

• Access purchased Educational Content on the Platform, solely for personal and non-commercial learning purposes.
• View videos, read documents, and participate in quizzes and interactive exercises included in purchased courses.
• Download resources where such option is expressly enabled, strictly for personal offline use.
• Receive a Certification upon satisfying all required conditions for the relevant course.

3.2 License Granted to Instructors

In addition to the rights granted to Learners, HooLearn grants duly registered Instructors an additional license to:

• Create, upload, publish, and manage their Educational Content on the Platform, in compliance with applicable content policies.
• Access course creation tools, including AI-assisted creation tools made available on the Platform.
• Set the price of their paid courses or offer them for free, within the pricing rules established by HooLearn.
• Receive revenue from course sales in accordance with the revenue-sharing terms set out in the Teacher Policy.
• Access statistics and analytics data relating to their courses and audience.

3.3 Restrictions Applicable to All Users

The license granted does not, under any circumstances, authorize the User to:

• Reproduce, copy, redistribute, resell, or publicly share any Educational Content, whether free or paid, without prior written authorization from HooLearn.
• Use content for commercial, promotional, or revenue-generating purposes other than those expressly permitted under this Agreement.
• Modify, adapt, decompile, disassemble, or attempt to extract the source code of the Platform or any of its components.
• Circumvent technical content protection measures such as DRM restrictions, access controls, or digital watermarks.
• Use bots, scripts, or automated tools to access the Platform or extract data without authorization.
• Transfer, assign, or sublicense the rights granted under this Agreement to any third party.

ARTICLE 4 — INTELLECTUAL PROPERTY

4.1 HooLearn's Rights

HooLearn is and remains the sole owner of all elements constituting the Platform, including its software infrastructure, user interface, visual identity, the HooLearn trademark, artificial intelligence algorithms, aggregated and anonymized data, and all future developments and improvements. These elements are protected by intellectual property laws applicable in the Republic of Cameroon and in all territories where the Platform is made available.

4.2 Instructors' Rights Over Their Content

Instructors retain full intellectual property rights over the Educational Content they create and publish on the Platform. By publishing content, Instructors grant HooLearn a worldwide, non-exclusive, irrevocable (for the duration of copyright), royalty-free, and sublicensable license for the purposes of:

• Hosting, storing, reproducing, adapting, and distributing the content on the Platform and its official channels.
• Promoting courses through HooLearn's advertising spaces and partner channels.
• Sublicensing access to the content to Learners under the terms of this Agreement.
• Technically adapting content to ensure compatibility with different devices and formats supported by the Platform.

This license terminates when the Instructor removes their content from the Platform, subject to rights already granted to Learners who have previously purchased access to that content.

4.3 AI-Generated Content

Educational Content produced using the Platform's AI tools remains the property of the Instructor who generated it, provided that the Instructor has reviewed, validated, and published it under their own editorial responsibility. HooLearn retains a non-exclusive license over such content under the terms of Article 4.2 above.

HooLearn reserves the right to use aggregated and anonymized usage data from the Platform to improve its AI models, in strict compliance with its Privacy Policy and without use of personally identifiable private user data.

4.4 Reporting Intellectual Property Violations

Any person who believes that content published on the Platform infringes their intellectual property rights is invited to notify HooLearn at contact@hoolearn.net, specifying:

• Identification of the work(s) concerned
• Location of the infringing content on the Platform
• Evidence supporting the claimed ownership of rights

HooLearn commits to reviewing and responding to all notifications promptly.

ARTICLE 5 — CERTIFICATIONS

HooLearn issues Certifications to Learners who have met all required conditions for a given course. The following terms apply:

• HooLearn Certifications attest to the completion of a training course on the Platform. Unless expressly stated otherwise, they do not constitute professional or academic qualifications recognized by public authorities.
• Certification is conditional on the successful completion of all associated assessments, which must be completed personally by the Learner.
• Any attempt at fraud, identity impersonation, or manipulation of results will result in immediate revocation of the Certification and termination of the Account.
• HooLearn provides a certificate authenticity verification system for use by employers and third-party institutions.
• HooLearn reserves the right to revise or withdraw a Certification if irregularities are discovered after its issuance.

ARTICLE 6 — FINANCIAL TERMS AND PAYMENT

6.1 Pricing

Access to certain Educational Content is subject to payment of a price set by the Instructor or HooLearn, as displayed on the Platform at the time of purchase. HooLearn reserves the right to modify prices applicable to new transactions at any time, without affecting access rights already acquired by Learners.

6.2 Payment Terms

All payments made on the Platform are:

• Processed by secure, certified third-party payment providers, each subject to their own privacy and security policies.
• Final and non-refundable, subject to the terms of the Refund Policy and Refund Process.
• Expressed in the currency displayed on the Platform at the time of transaction. Currency conversion fees may apply depending on the User's location.

6.3 Subscriptions and Auto-Renewal

Where HooLearn offers subscription-based access:

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Users will be notified of any price changes prior to renewal.
• Free trials convert automatically to paid subscriptions at the end of the trial period unless cancelled.
• Cancellation takes effect at the end of the current billing period. Access is maintained until that date.
• To cancel, visit Account settings or contact contact@hoolearn.net.

6.4 Revenue Sharing with Instructors

Instructors receive a share of revenue generated from the sale of their courses, according to the rates and terms set out in the Teacher Policy. HooLearn reserves the right to modify these rates with reasonable prior notice of at least 30 days to active Instructors. Payments are made according to the schedule and terms set out in that Policy.

6.5 Taxation

Each User is solely responsible for any tax obligations arising from their use of the Platform in their jurisdiction. HooLearn reserves the right to collect and remit any applicable taxes as required by the laws of the territories in which it operates.

ARTICLE 7 — ACCOUNT CREATION AND MANAGEMENT

7.1 Account Eligibility

To register on the Platform, the User must:

• Be at least 18 years old, or have obtained verified parental or guardian consent if under 18. The consenting adult assumes full legal responsibility for the minor's use of the Platform.
• Provide accurate, complete, and up-to-date information at registration and keep it current.
• Create secure login credentials and not share them with third parties.
• Create only one personal account, unless HooLearn has expressly authorized otherwise.

7.2 Account Responsibility

The User is solely responsible for all activities carried out from their Account. In the event of unauthorized access or compromise of login credentials, the User must notify HooLearn immediately at contact@hoolearn.net. HooLearn shall not be liable for any loss or damage arising from unauthorized account use prior to such notification.

7.3 Suspension and Termination of Account

HooLearn reserves the right to suspend or permanently terminate any Account, without prior notice or compensation, in the following circumstances:

• Violation of any provision of this Agreement or any applicable Platform policy.
• Provision of false or misleading information during registration or use of the Platform.
• Fraudulent, abusive, or harmful conduct affecting other Users or HooLearn's reputation.
• Non-payment of amounts owed to HooLearn.
• Court order or instruction from a competent authority.

In the event of termination for serious misconduct, the User shall not be entitled to any refund and will immediately lose access to all acquired content, without HooLearn being liable.

ARTICLE 8 — WARRANTIES AND LIMITATION OF LIABILITY

8.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis. HooLearn does not warrant that the Platform will be error-free, uninterrupted, or free from technical failures. Planned or unplanned maintenance operations may result in temporary service interruptions.

8.2 Limitation of Liability

To the fullest extent permitted by applicable law, HooLearn shall not be liable for:

• Indirect, consequential, incidental, or special damages arising from use of or inability to use the Platform.
• Loss of data, business opportunities, or revenue suffered by the User.
• The accuracy, completeness, or relevance of Educational Content published by third-party Instructors.
• Professional, academic, or financial decisions made by the User based on courses completed on the Platform.
• Failures resulting from force majeure events, including telecommunications network failures, natural disasters, or acts of war.

HooLearn's total aggregate liability under this Agreement shall not exceed the total amount paid by the User to HooLearn during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded under applicable consumer protection law.

8.3 User Warranties

By accepting this Agreement, the User represents and warrants that:

• They have the legal capacity to enter into and be bound by this Agreement.
• The information provided at registration is accurate and truthful.
• They will not use the Platform for unlawful purposes or in breach of this Agreement.
• As an Instructor, they hold all necessary rights over the content they publish.

ARTICLE 9 — PERSONAL DATA PROTECTION

The collection and processing of Users' personal data is governed by the HooLearn Privacy Policy, which forms an integral part of this Agreement and is incorporated herein by reference.

HooLearn commits to:

• Collecting only data strictly necessary for the provision of Platform services.
• Processing personal data in compliance with the General Data Protection Regulation (GDPR), applicable Cameroonian law, and any other relevant regulations.
• Not selling Users' personal data to third parties for commercial purposes.
• Implementing appropriate technical and organizational measures to ensure data security and confidentiality.
• Respecting Users' data rights (access, rectification, erasure, portability, objection) as set out in the Privacy Policy.

ARTICLE 10 — ARTIFICIAL INTELLIGENCE — RIGHTS AND RESPONSIBILITIES

The Platform integrates AI-powered content creation and recommendation tools. Use of these tools is subject to the following conditions:

• AI-Generated Content may contain inaccuracies or omissions. HooLearn does not guarantee its absolute accuracy and accepts no liability for minor errors, except in cases where content is substantially misleading.
• Instructors who use the Platform's AI tools are required to review, verify, and validate all content in full before publishing. They assume sole editorial responsibility for published content.
• It is prohibited to use the Platform's AI tools to generate unlawful, discriminatory, defamatory, or third-party rights-infringing content.
• HooLearn reserves the right to remove any AI-Generated Content that violates its editorial policies or applicable legal provisions.
• Users acknowledge that AI system outputs do not constitute qualified legal, medical, financial, or professional advice, and must be evaluated with appropriate critical judgment.
• Instructors must clearly disclose when a course has been substantially generated or assisted by AI tools.

ARTICLE 11 — TERM AND TERMINATION

11.1 Duration

This Agreement enters into force on the date of acceptance by the User and remains in effect for an indefinite period until terminated by either party under the conditions set out below.

11.2 Termination by the User

The User may terminate this Agreement at any time by deleting their Account through Platform settings or by submitting a written request to HooLearn at contact@hoolearn.net. Termination does not entitle the User to any refund of amounts already paid, except as provided under the Refund Policy. Access to purchased content may be maintained or revoked depending on the nature of the termination.

11.3 Termination by HooLearn

HooLearn may terminate this Agreement, with or without prior notice depending on the severity of the circumstances, in cases including serious breach of this Agreement, fraudulent activity, or an order from a competent authority. Termination for misconduct results in immediate and permanent loss of all access rights, without compensation.

11.4 Effects of Termination

Upon termination of this Agreement, for any reason:

• The license rights granted to the User cease immediately.
• The Account is deactivated and access to the Platform and its content is revoked.
• HooLearn will retain data necessary to fulfill its legal obligations and resolve any ongoing disputes.

The following provisions survive termination: Intellectual Property (Article 4), Warranties and Limitation of Liability (Article 8), Personal Data Protection (Article 9), Governing Law (Article 13), and Dispute Resolution (Article 14).

ARTICLE 12 — AMENDMENTS TO THIS AGREEMENT

HooLearn reserves the right to modify this Agreement at any time to reflect legal, technological, or commercial developments. Any material modification will be notified to active Users electronically — via Platform notification and/or email — with at least thirty (30) calendar days' prior notice.

Continued use of the Platform after the expiry of the notice period constitutes acceptance of the modified terms. Users who do not accept the modifications may terminate this Agreement under Article 11.2 before the modifications take effect.

ARTICLE 13 — GOVERNING LAW

This Agreement is governed by and interpreted in accordance with the laws of the Republic of Cameroon, including Law No. 2010/012 of 21 December 2010 on Cybersecurity and Cybercrime, Law No. 2010/021 of 21 December 2010 governing Electronic Commerce, and the applicable provisions of the Cameroonian Civil Code.

For Users residing in the European Economic Area, EU Regulation 2016/679 (GDPR) applies to the processing of their personal data. Mandatory consumer protection provisions applicable in the User's country of residence remain enforceable notwithstanding this clause.

ARTICLE 14 — DISPUTE RESOLUTION

14.1 Internal Resolution — Mandatory First Step

In the event of any dispute relating to the interpretation, performance, or termination of this Agreement, the parties commit to first attempting to resolve the matter amicably before initiating any legal proceedings. The User must submit a written complaint to HooLearn at contact@hoolearn.net or through the Complaints & Appeals System. HooLearn will respond substantively within fifteen (15) business days of receiving the complaint.

14.2 Mediation

If the dispute cannot be resolved through direct negotiation within the period above, both parties may agree to submit the dispute to an independent mediator appointed by mutual agreement. Mediation costs are shared equally between the parties unless otherwise agreed.

14.3 International Arbitration

For Users located outside Cameroon, any dispute not resolved through internal resolution or mediation shall be finally settled by binding arbitration under the Rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be Yaoundé, Republic of Cameroon. The language of arbitration shall be English or French. The arbitral award shall be final and binding on both parties.

14.4 Jurisdiction for Domestic Disputes

For Users based in Cameroon, any unresolved dispute shall be submitted to the exclusive jurisdiction of the competent courts of Yaoundé, Republic of Cameroon.

ARTICLE 15 — GENERAL PROVISIONS

15.1 Entire Agreement

This Agreement, together with the Privacy Policy, Terms and Conditions, Refund Policy, Teacher Policy, Code of Ethics, and Complaints System, constitutes the entire agreement between HooLearn and the User and supersedes all prior agreements on the same subject matter.

15.2 Severability

If any provision of this Agreement is found to be null, invalid, or unenforceable by a competent court, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a stipulation as close as possible to the original intent of the parties.

15.3 Non-Waiver

HooLearn's failure to exercise or delay in exercising any right or prerogative under this Agreement shall not constitute a waiver of that right or prerogative.

15.4 Force Majeure

HooLearn shall not be liable for any delay or failure to perform resulting from a force majeure event, understood as any unforeseeable, irresistible event beyond HooLearn's control, including without limitation natural disasters, armed conflict, large-scale cyberattacks, telecommunications infrastructure failures, or government decisions.

15.5 Assignment

The User may not assign or transfer this Agreement or any rights arising from it to a third party without HooLearn's prior written consent. HooLearn may freely assign this Agreement in the context of a merger, acquisition, or asset sale, provided active Users are notified within a reasonable timeframe.

15.6 Notices and Communications

All official notices related to this Agreement must be submitted in writing to HooLearn at contact@hoolearn.net. Electronic communications sent to the User's registered email address are deemed duly delivered.

ACCEPTANCE OF THIS AGREEMENT

By checking the "I accept the terms of use" box when creating your account, or by using HooLearn's services, you confirm that you have read, understood, and agree without reservation to the entirety of this End User License Agreement and all referenced policy documents.

• PDF documents — Some downloadable PDF resources may not be fully accessible. We are working to remediate these or provide accessible alternatives.
• Third-party integrations — Some embedded third-party tools such as payment processors or analytics widgets may have accessibility limitations beyond our direct control. We assess and select third-party tools with accessibility in mind.
• AI-generated content — Content generated by AI tools may not always include accessibility features such as alt text or structured headings. Instructors are encouraged to review and enhance AI-generated content before publishing.

1. SCOPE

This Code applies to every individual or organization that accesses, uses, or contributes to the HooLearn Platform at https://hoolearn.net, including all mobile versions and associated interfaces. It governs the conduct of:

• Learners — anyone enrolled on the Platform to access training content.
• Instructors / Creators — anyone producing and publishing educational content on the Platform.
• HooLearn staff and administrators — personnel responsible for managing, moderating, and developing the Platform.
• Institutional and commercial partners — any entity that has entered into a collaboration agreement with HooYia Co. Ltd.

2. CORE VALUES

Everything HooLearn does is guided by five foundational values. All Users are expected to embody these in their conduct on the Platform.

2.1 Integrity Act honestly, consistently, and transparently in all interactions on the Platform whether presenting a course, submitting a review, or communicating with the community. Manipulation, deception, and fraud of any kind are incompatible with membership of this community.

2.2 Educational Excellence Quality of teaching is HooLearn's highest priority. Instructors commit to producing content that is rigorous, current, well-structured, and genuinely suited to the needs of Learners. HooLearn encourages continuous improvement and innovation in pedagogy.

2.3 Inclusion and Equality HooLearn is committed to education without barriers. No User may be discriminated against or treated differently on the basis of gender, ethnic or national origin, religion, disability, socioeconomic status, sexual orientation, age, or any other personal characteristic. Diversity in content and community is actively promoted.

2.4 Respect and Dignity Every interaction on the Platform must be characterized by mutual respect, courtesy, and good faith. Each User is a valued participant in a collective endeavor of learning and knowledge sharing. Disrespectful, hostile, or demeaning conduct will not be tolerated.

2.5 Responsibility HooLearn assumes full responsibility toward its Users, partners, and society. All Users share in this responsibility by using the Platform honestly, reporting problems when they see them, and upholding the standards of this community.

3. INSTRUCTOR OBLIGATIONS

3.1 Content Quality and Accuracy

Every Instructor who publishes content on HooLearn commits to:

• Producing original educational content that is factually accurate and kept up to date.
• Clearly citing all sources used and respecting applicable copyright and intellectual property laws.
• Honestly representing their qualifications, credentials, and experience in the subjects they teach.
• Not misleading Learners about the objectives, level, prerequisites, or expected outcomes of a course.
• Meeting HooLearn's minimum technical quality standards for audio, video, and presentation.
• Clearly disclosing when any part of their course content has been generated or assisted by AI tools.

3.2 Intellectual Property

Instructors guarantee that they own all intellectual property rights over the content they publish, or that they have obtained all necessary authorizations from the legitimate rights holders. Any violation of intellectual property rights is the exclusive responsibility of the Instructor concerned and may result in immediate removal of the content, account suspension or termination, and appropriate legal action.

3.3 Professional Conduct

In all interactions with Learners, Instructors commit to:

• Maintaining a strictly professional and pedagogical relationship with Learners at all times.
• Responding to questions and comments within a reasonable timeframe and in a constructive manner.
• Not using the Platform for political, religious, or ideological proselytizing.
• Refraining from any behavior that could constitute harassment, intimidation, or discrimination.
• Not soliciting payment, gifts, or any other benefit outside the Platform's official channels.
• Not promoting competing platforms or external services through their course content without HooLearn's prior written consent.

3.4 Pricing Transparency

Instructors commit to setting fair and justified prices for their paid courses. Any price changes must be communicated with reasonable advance notice. Discriminatory pricing targeting specific categories of Users without a recognized legal basis is strictly prohibited.

4. LEARNER RIGHTS AND OBLIGATIONS

4.1 Learner Rights

Every Learner has the following rights on the HooLearn Platform:

• The right to access training content that matches its official description and meets reasonable quality standards.
• The right to have their personal data, privacy, and dignity respected at all times.
• The right to report any content that is inappropriate, inaccurate, or in breach of this Code.
• The right to a fair and accessible complaints process in the event of a dispute with an Instructor or with the Platform.
• The right to receive a certificate or attestation upon successful completion of any eligible course.
• The right to accessible and responsive technical and educational support.

4.2 Learner Obligations

In return for the rights recognized above, Learners commit to:

• Using the Platform exclusively for personal learning and professional development purposes.
• Not sharing login credentials or allowing third parties to access their Account.
• Respecting the intellectual property rights of Instructors and not reproducing, distributing, or reselling content without express authorization.
• Behaving respectfully in all community spaces including forums, discussion groups, and comments sections.
• Not submitting fraudulent, defamatory, or bad-faith reviews, ratings, or assessments.
• Reporting immediately to HooLearn any content or behavior that appears suspicious, abusive, or unlawful, via the Complaints System.

5. PERSONAL DATA AND PRIVACY

5.1 Data Collection and Processing

HooLearn collects and processes User personal data in strict compliance with applicable data protection laws, including the GDPR and the laws of the Republic of Cameroon. Data collected is limited strictly to what is necessary for the following purposes: account creation and management, personalization of the learning experience, payment processing and certification issuance, Platform-related communications, and anonymized statistical analysis to improve services.

5.2 User Data Rights

Every User has the right to access, correct, delete, and port their personal data, and to object to certain types of processing. To exercise these rights, contact contact@hoolearn.net. We will respond within 30 days.

HooLearn implements appropriate technical and organizational measures to protect personal data against unauthorized access, loss, destruction, or disclosure. In the event of a data breach likely to affect User rights, HooLearn will notify affected individuals as required by law.

5.4 Cookies

HooLearn uses cookies and similar technologies to improve the User experience and analyze Platform traffic. Users are informed of this and may manage their preferences at any time through the Platform's cookie settings. Refusing certain cookies may limit access to some features.

6. ETHICAL USE OF ARTIFICIAL INTELLIGENCE

6.1 Transparency

Users are informed when content has been generated or recommended by an AI system. HooLearn will not present AI-generated content as human-authored work without explicit disclosure of its origin. Instructors must clearly indicate when their course content has been substantially produced using AI tools.

6.2 Human Oversight

All AI-generated content is subject to human editorial review before publication. HooLearn maintains ongoing editorial supervision to ensure the relevance, accuracy, and pedagogical quality of content on the Platform.

6.3 Non-Discrimination

HooLearn ensures that its recommendation algorithms do not reproduce or amplify discriminatory biases based on gender, origin, socioeconomic status, or any other protected characteristic. Regular audits are conducted to detect and correct potential bias.

6.4 Prohibited AI Uses

It is strictly prohibited to use or circumvent the Platform's AI technologies for unauthorized purposes, including generating misleading or fraudulent content, violating third-party rights, impersonating another person, or compromising the integrity of the Platform.

6.5 AI Limitations

Users acknowledge that AI-generated outputs do not constitute qualified legal, medical, financial, or professional advice. All AI-generated content must be evaluated with appropriate critical judgment. HooLearn is not liable for decisions made on the basis of AI-generated content.

7. PROHIBITED CONTENT AND MODERATION

7.1 Strictly Prohibited Content

The following content is absolutely forbidden on the HooLearn Platform:

• Pornographic, obscene, or content that violates human dignity.
• Content that incites hatred, discrimination, or violence against any person or group.
• Harassment, intimidation, or persecution of any User.
• Content glorifying terrorism, genocide, or crimes against humanity.
• Deliberately false or misleading factual information intended to deceive or cause harm.
• Content that infringes the intellectual property rights of third parties.
• Unauthorized advertising or promotional content.
• Malware, viruses, or any other harmful code.
• Content designed to facilitate academic fraud or the sale of fraudulent certifications.

7.2 Reporting

Any User who becomes aware of content that violates this Code is encouraged to report it immediately through the Complaints System. HooLearn commits to handling every report with diligence, impartiality, and confidentiality.

7.3 Moderation and Sanctions

Where a violation is confirmed, HooLearn will apply sanctions proportionate to the severity of the breach:

• Level 1 — Formal written warning to the User concerned.
• Level 2 — Immediate removal of the offending content.
• Level 3 — Temporary account suspension (from 24 hours up to 90 days).
• Level 4 — Permanent account termination and exclusion from the Platform.
• Level 5 — Referral to competent legal authorities in the event of a criminal offense.

Users may appeal any moderation decision through the Complaints & Appeals System. Appeals are reviewed within 10 business days.

8. ACADEMIC INTEGRITY AND ANTI-FRAUD

8.1 Fair Assessment

HooLearn ensures that its assessment mechanisms — quizzes, exams, and projects — accurately reflect Learners' genuine level of knowledge and skill. Any attempt to manipulate assessment results is treated as a serious breach of this Code.

8.2 Prohibited Fraudulent Behaviors

The following constitute acts of academic fraud and are strictly prohibited:

• Using another person's identity to access a course or sit an assessment.
• Unauthorized sharing of exam questions or answer keys.
• Producing, selling, or distributing fraudulent certificates or attestations bearing the HooLearn name.
• Creating fake course reviews or ratings for commercial gain or to damage a competitor.
• Using automated tools to simulate presence or activity on the Platform.
• Paying or inducing a third party to complete a course or assessment on your behalf.

8.3 Certificate Authenticity

HooLearn issues certificates only to Learners who have personally and genuinely met the requirements of each course. A certificate verification system is made available to employers and partner institutions.

9. EQUITY, NON-DISCRIMINATION, AND INCLUSION

HooLearn reaffirms its commitment to an open, inclusive, and equitable platform. Accordingly:

• No User may be excluded, penalized, or treated differently on the basis of any protected personal characteristic.
• HooLearn works to make the Platform accessible to people with disabilities in accordance with WCAG 2.1 standards, as detailed in the Accessibility Statement.
• Free courses are maintained in the catalogue to ensure access to education for Users with limited resources.
• HooLearn actively supports the production of multilingual content particularly in English and French to serve African and francophone communities effectively.
• HooLearn's recommendation algorithms are regularly audited to ensure they do not disadvantage any User group.

10. SOCIAL AND ENVIRONMENTAL RESPONSIBILITY

HooLearn recognizes its role as a responsible digital actor and commits to considering social and environmental impacts in its decisions. Specifically, HooLearn:

• Optimizes its technical infrastructure to reduce its digital carbon footprint.
• Prioritizes partners and suppliers that adopt sustainable and responsible practices.
• Actively contributes to skills development on the African continent by offering content suited to local realities and needs.
• Supports educational initiatives targeting disadvantaged or marginalized communities.
• Measures and regularly publishes indicators relating to its social impact and service accessibility.

11. COMPLAINTS AND DISPUTE RESOLUTION

11.1 Complaints Procedure

Any User wishing to submit a complaint must:

• Submit the complaint via the Complaints System or by email to contact@hoolearn.net.
• HooLearn will acknowledge receipt within 72 business hours.
• A substantive response will be provided within a maximum of 15 business days.
• If the User remains unsatisfied, the matter may be escalated to an independent mediator.

11.2 HooLearn's Limitation of Liability

HooLearn acts as a technical intermediary between Instructors and Learners. As such, the Platform cannot be held liable for the content of courses, the accuracy of information provided by Instructors, or the professional or academic outcomes achieved by Learners. HooLearn shall not be liable for service interruptions caused by force majeure events, planned technical maintenance, or malicious acts by third parties, provided all reasonable preventive measures were taken.

11.3 Governing Law

This Code is governed by the laws of the Republic of Cameroon. For international Users, mandatory consumer protection provisions applicable in their country of residence remain enforceable. Unresolved domestic disputes are subject to the jurisdiction of the competent courts of Yaoundé, Republic of Cameroon. International disputes are subject to ICC arbitration as detailed in the Terms and Conditions.

12. UPDATES TO THIS CODE

HooLearn reserves the right to modify this Code at any time to reflect legislative, technological, or community developments. Material changes will be notified to Users electronically with reasonable advance notice. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Code.

Users are encouraged to consult the current version of this Code regularly. A version history is maintained and available on request.

• "Consumed Content" — any lesson, video, quiz, or resource accessed by the Buyer after gaining access to the Course, as measured by the Platform's tracking systems.
• "Verified Technical Fault" — any Platform or content malfunction that objectively prevents access to or use of purchased content.
• "Withdrawal Period" — the period during which a Buyer may cancel their purchase without providing a reason.
• "Account Credit" — an amount equivalent to the refund, credited to the Buyer's HooLearn account and usable toward any future purchase on the Platform.

2. LEGAL BASIS

This Refund Policy is established in compliance with the following legal instruments:

• Cameroonian Law No. 2011/012 of 6 May 2011 on consumer protection, guaranteeing every consumer the right to pre-contractual information and remedy for non-conforming services.
• Cameroonian Law No. 2010/021 of 21 December 2010 governing electronic commerce, regulating online transactions, operator obligations, and buyer rights.
• The applicable Civil Code, particularly provisions relating to contractual obligations and restitution of sums paid.
• EU Directive 2011/83/EU on consumer rights — HooLearn voluntarily adopts its withdrawal right standards for Users residing in the European Economic Area.
• OECD Guidelines for Consumer Protection in E-Commerce, applied as international best practice standards.

3. REFUND CONDITIONS AND ELIGIBLE CASES

3.1 Standard Withdrawal Right — 14-Day Window

Every Buyer has the right to request a full refund within fourteen (14) calendar days of the purchase date, without needing to provide a reason, provided all of the following conditions are met:

• The refund request is submitted within 14 days of the purchase date.
• The Buyer has not consumed more than 30% of the total course content, as measured by the Platform's tracking tools.
• The course completion certificate has not been issued to the Buyer.

If any one of these conditions is not met, the standard withdrawal right does not apply. Other refund cases set out below may still be available.

3.2 Refund for Verified Technical Fault

Regardless of the withdrawal period, a Buyer is entitled to a full refund where the purchased Course presents a verified technical fault, specifically where:

• The Platform or purchased content is inaccessible for a prolonged period exceeding 72 consecutive hours without a satisfactory alternative being offered.
• Serious and persistent technical malfunctions render the Course objectively unusable — including unplayable videos, inaccessible quizzes, or missing resources representing more than 30% of the content.
• The content delivered is materially different from the official course description on the Platform in ways that substantially affect the Buyer's interest.

Refund requests for technical faults must include a precise description of the issue and, where possible, supporting evidence such as screenshots. HooLearn commits to processing these requests as a priority.

3.3 Refund for Double Billing or Payment Error

In the event of double billing or a manifest Platform error during payment processing, HooLearn will issue a full refund of all incorrectly charged amounts within five (5) business days of the error being identified, without requiring a formal request from the Buyer. HooLearn commits to proactively notifying the Buyer of any refund initiated on this basis.

3.4 Refund for Persistent Inaccessibility

If HooLearn is unable to maintain access to a purchased Course for more than thirty (30) consecutive days — for any reason including instructor withdrawal, legal content removal, or irremediable technical failure — the Buyer is entitled to a prorated refund calculated on the basis of the content not yet consumed at the time of permanent interruption.

3.5 Partial Refund — Exceptional Cases

A partial refund may be granted at HooLearn's discretion in the following situations:

• The Buyer has consumed no more than 30% of the content and provides a documented legitimate reason, such as a demonstrable mismatch between the course level and its description, or a factual error in the course overview.

The partial refund amount is calculated proportionally to the unconsumed content at the time of the request, minus any applicable processing fees as defined in Section 5.4.

4. SITUATIONS WHERE REFUNDS ARE NOT AVAILABLE

No refund will be granted in the following circumstances, unless mandatory consumer protection law requires otherwise:

• The Buyer has consumed more than 30% of the course content, regardless of the reason stated.
• The course completion certificate has been issued to the Buyer, confirming course completion.
• The 14-day withdrawal period has expired and no verified technical fault has been established.
• The request concerns a free course or a course obtained through a fully complimentary promotion.
• The Buyer has violated HooLearn's Terms and Conditions or License Agreement, including by sharing access credentials or redistributing protected content.
• The refund request is manifestly fraudulent or submitted in bad faith — including repeated requests across different courses with the apparent intent of accessing content for free.
• The dissatisfaction expressed is purely subjective and unrelated to any objective defect in the service or content.
• The purchase was made using loyalty points, gift vouchers, or promotional credits.
• The course was purchased as part of a time-limited cohort, live session, or workshop, where specific refund conditions were communicated at the point of purchase and accepted by the Buyer.

5. PROCESSING TERMS AND METHODS

5.1 How to Submit a Refund Request

All refund requests must be submitted through the official procedure below:

1. Log in to your HooLearn account on the Platform.
2. Go to "My Courses" and select the relevant course.
3. Use the refund request form available in the user interface — or, if unavailable, send an email to contact@hoolearn.net with the subject line: "Refund Request — [Course Title] — [Order Number]".
4. Clearly state the reason for your request and attach any relevant supporting documents (screenshots, description of the fault, proof of purchase).
5. Submit the request.

Incomplete requests or those that do not follow this procedure may result in HooLearn requesting additional information, which will pause the processing timeline until the missing information is received.

5.2 Processing Timelines

5.3 Refund Methods

Refunds are issued in the following order of priority:

• Refund to original payment method — all refunds are in principle returned via the same channel used at purchase (bank card, Mobile Money, bank transfer). Credit timelines depend on the payment provider, typically between 5 and 10 additional business days.
• Account Credit — on the Buyer's express request, or where a refund to the original payment method is technically impossible, an equivalent credit is applied to the Buyer's HooLearn account. Account credit is valid for 24 months from the date of attribution and can be used toward any purchase on the Platform.
• Discount voucher — in certain cases and with the Buyer's express agreement, a discount voucher of greater value than the refund amount may be offered as an alternative.

5.4 Processing Fees

HooLearn charges no processing fees on refunds granted under the standard 14-day withdrawal right or for verified technical faults. For discretionary or partial refunds granted outside these standard cases, a processing fee of 5% of the refunded amount may apply, with a minimum of 200 FCFA. Any applicable fee will be communicated to the Buyer before the refund is finalized.

6. DISPUTES AND APPEALS

6.1 Internal Resolution

If a Buyer disagrees with a refund decision, they may submit a formal appeal within 30 days of receiving HooLearn's decision, by emailing contact@hoolearn.net or using the Complaints System. The appeal must clearly state the subject of the dispute, the decision being challenged, and the factual or legal grounds for the challenge. HooLearn commits to reviewing all serious and documented appeals and providing a reasoned response within 15 business days.

6.2 Mediation

If internal resolution does not produce a satisfactory outcome, the Buyer may request independent mediation. Mediation is a voluntary, confidential, and non-binding process. HooLearn will cover mediation costs for disputes involving amounts below 50,000 FCFA. Mediator contact details will be provided on request.

6.3 Governing Law and Jurisdiction

This Policy is governed by the laws of the Republic of Cameroon. For Users in the European Union and other jurisdictions with mandatory consumer protection provisions, those provisions remain fully enforceable regardless of this clause. Domestic disputes that cannot be resolved through internal resolution or mediation are subject to the jurisdiction of the competent courts of Yaoundé, Republic of Cameroon. International disputes are subject to ICC arbitration as detailed in the Terms and Conditions.

7. INSTRUCTOR PROVISIONS

7.1 Impact of Refunds on Instructor Revenue

Any refund granted to a Buyer results in a corresponding deduction from the relevant Instructor's revenue, in accordance with the Teacher Policy. Instructors are notified of any refund granted on their courses within 48 hours.

7.2 Instructor Quality Obligations

A refund rate exceeding 15% on any given course, calculated over a rolling 90-day period, is treated as an indicator of insufficient quality. In such cases, HooLearn reserves the right to temporarily suspend the sale of the course and require the Instructor to implement a quality improvement plan within 30 days. If no corrective action is taken, the course may be permanently removed from the catalogue.

7.3 Shared Liability for Content Defects

Where a refund is granted due to a verified fault directly attributable to Instructor content — including false information, missing content, or a misleading description — the full financial cost of the refund is borne by the Instructor, without prejudice to any disciplinary action available under the Code of Ethics.

8. SPECIAL PROVISIONS

8.1 Time-Limited and Live Courses

For courses with time-limited access — including cohorts, live sessions, and workshops — specific refund conditions are communicated to the Buyer at the point of purchase and take precedence over the general provisions of this Policy, within the limits of mandatory consumer rights.

8.2 Promotional Purchases

Courses purchased at a discounted price during a promotion are subject to the same refund conditions as full-price courses. The refund amount corresponds to the price actually paid by the Buyer, not the catalogue price.

8.3 Institutional and B2B Purchases

Purchases made by companies, educational institutions, or organizations under partnership or volume agreements are subject to the specific refund conditions set out in their bilateral contracts with HooLearn. In the absence of a specific contractual provision, this Policy applies by default.

8.4 Force Majeure

HooLearn shall not be obligated to issue refunds for service interruptions caused by force majeure events within the meaning of applicable law, including natural disasters, large-scale cyberattacks, or government decisions. In such cases, HooLearn commits to offering an alternative solution — such as extended access, account credit, or deferred access — as soon as reasonably practicable, and to communicating with affected Users transparently.

9. UPDATES AND ENTRY INTO FORCE

This Refund Policy enters into force on 1 April 2026 and applies to all purchases made from that date. Purchases made before this date remain governed by the version of the Policy in effect at the time of purchase.

HooLearn reserves the right to modify this Policy at any time to reflect legislative changes or industry developments. Any material change will be notified to Users by email and Platform notification with a minimum of 30 days' prior notice. Purchases made before the effective date of any new version remain governed by the previous provisions.

This page explains step-by-step how refund requests are submitted, reviewed, and processed on HooLearn. For the full conditions that determine whether you are eligible for a refund, please read the Refund Policy first.

STEP 1 — SUBMIT YOUR REFUND REQUEST

All refund requests must be submitted through your HooLearn account:

1. Log in to your account at https://hoolearn.net
2. Go to My Courses and select the course you wish to request a refund for.
3. Click Request a Refund and complete the form, providing:
   • Your Order ID and Course ID
   • Your reason for the refund (selected from the dropdown)
   • A brief explanation (optional but recommended)
   • Supporting files such as screenshots if your request involves a technical fault or misleading content claim

Once submitted, you will receive an automatic confirmation email containing your unique Refund Ticket ID. Keep this reference number — you will need it for any follow-up or appeal.

Important: Each order can only have one active refund request at a time. Duplicate submissions for the same order are not permitted.

STEP 2 — AUTOMATIC ELIGIBILITY CHECK

Once your request is received, our system immediately and automatically checks three things:

A. Time Check Your request must be submitted within 14 calendar days of your purchase date. Requests outside this window are automatically rejected unless a verified technical fault applies — see the Refund Policy for exceptions.

B. Consumption Check The system checks your course activity including videos watched, lessons opened, quiz participation, and downloaded materials.

• 30% or less consumed → passes automatically
• Above 30% consumed → referred to manual review or rejected depending on the reason stated

C. Account Check The system reviews your refund history. If you have submitted more than 3 refund requests within the past 90 days, or if a pattern of high consumption followed by refund requests is detected, your request is automatically flagged for manual review rather than auto-approved.

STEP 3 — AUTOMATIC APPROVAL OR MANUAL REVIEW

Auto-Approved — your refund is approved automatically if all of the following are true:

• Request submitted within 14 days ✔
• Course consumption at or below 30% ✔
• No abuse pattern detected ✔
• No account policy violation ✔
• Original payment successfully captured ✔

Upon auto-approval, the following happen immediately and automatically:

• Your course access is revoked
• Your certificate eligibility is removed
• The Instructor's revenue is adjusted
• Your refund is triggered through the payment gateway
• You receive a confirmation email

Manual Review — your request is referred to our support team if any of the following apply:

• Consumption is slightly above 30%
• You have claimed misleading course content
• You have reported a technical fault
• You have raised an AI content inaccuracy claim
• An abuse flag has been detected on your account
• The course is completed but you have submitted a substantive complaint

During manual review, our team examines your activity logs, any screenshots or evidence provided, communication history, and where necessary, the course content itself. You will be kept informed of progress.

STEP 4 — DECISION

All decisions are communicated to you by email within the timelines set out below.

STEP 5 — REFUND EXECUTION

Once approved, your refund is processed as follows:

• The payment gateway is called to initiate the refund transaction.
• Your refund status moves through: Pending → Processing → Completed.
• Refunds are returned to your original payment method (bank card, Mobile Money, or bank transfer) within 5 to 10 business days after the gateway processes it, depending on your payment provider.
• If a refund to your original payment method is not possible, an equivalent Account Credit valid for 24 months is applied to your HooLearn account instead.

If your refund shows as Failed, contact us at contact@hoolearn.net with your Refund Ticket ID and we will resolve it promptly.

PROCESSING TIMELINES

NOTIFICATIONS

You will receive email notifications at each key stage:

1. Submission confirmed — includes your Refund Ticket ID
2. Decision notified — approved or rejected, with explanation
3. Refund completed — confirms the refund has been processed to your payment method

Instructors are separately notified of any refund affecting their course revenue within 48 hours of the decision, along with full revenue adjustment details.

IF YOUR REQUEST IS REJECTED

If your refund request is rejected and you believe the decision is incorrect, you may submit a formal appeal within 7 calendar days of receiving the rejection notice. Your appeal must include new evidence not previously submitted. One appeal per case is permitted.

This document defines the procedures through which Users may report disputes, malfunctions, or breaches relating to HooLearn's services in a structured and legally compliant manner.

This Policy forms part of our legal framework and should be read alongside our Terms and Conditions, Refund Policy, Code of Ethics, and Privacy Policy.

1. LEGAL BASIS

This Complaints Policy is established in compliance with the following legal frameworks:

This Policy constitutes a legally binding contractual document applicable to all persons using the HooLearn Platform. Use of the Platform constitutes acceptance of these provisions.

2. SCOPE AND WHO MAY SUBMIT A COMPLAINT

2.1 Learners

Any User with an active Learner account may submit a complaint relating to:

• The pedagogical or technical quality of a course
• Misleading, inaccurate, or materially false course descriptions
• Technical malfunctions of the Platform
• Instructor conduct — including ethical breaches, harassment, or discrimination
• Payment or billing problems
• Concerns relating to AI-generated content
• Any violation of applicable consumer rights

2.2 Instructors

Any registered Instructor or content creator may submit a complaint relating to:

• Unfair, defamatory, or abusive reviews submitted by Learners
• Payment disputes or revenue calculation disagreements
• Intellectual property violations — including plagiarism or unauthorized reproduction of their content
• Inappropriate or abusive conduct by Learners
• Unjustified account restrictions or suspensions
• Technical Platform problems affecting their activity or revenue

2.3 General Complaints

Any User may additionally submit a complaint relating to data privacy, discrimination, harassment between Users, violations of the Terms and Conditions or Code of Ethics, or any other matter falling within HooLearn's responsibility as Platform operator.

3. CATEGORIES OF ACCEPTED COMPLAINTS

The following complaint categories are accepted. HooLearn reserves the right to declare inadmissible any complaint that does not fall within these categories, subject to a reasoned notification to the User:

1. Educational content quality issues
2. Misleading or inaccurate course information
3. Platform technical errors or malfunctions
4. Payment and billing disputes
5. Instructor behavioral misconduct
6. Learner behavioral misconduct
7. Copyright or intellectual property violations
8. Concerns relating to AI-assisted content
9. Violations of the Platform's Terms and Conditions or policies
10. Privacy or personal data protection breaches
11. Discrimination or harassment between Users
12. Unjustified account suspension or termination
13. Certificate issuance disputes

4. HOW TO SUBMIT A COMPLAINT

4.1 Official Submission Channel

All complaints must be submitted through the official complaint form available on the Platform at https://hoolearn.net/complaints. Complaints submitted through unofficial channels — including social media, postal mail, or verbal communication — will not be processed unless the User subsequently submits through the official channel.

4.2 Required Information

Every complaint must include the following information. Incomplete submissions may be returned for completion, which will pause the processing timeline:

• Full name and registered email address
• Course identifier or order number (where applicable)
• A clear, precise, and detailed description of the issue
• Supporting evidence — screenshots, timestamps, documents, or correspondence
• Approximate date and time of the incident
• The outcome you are seeking

The burden of proof lies with the User submitting the complaint. HooLearn will assess all evidence provided objectively and impartially.

4.3 Submission Deadline

To ensure legal certainty and effective investigation, complaints must be submitted within the following deadlines — whichever comes first:

• 30 days from the date of the purchase or transaction concerned, or
• 30 days from the date the incident giving rise to the complaint occurred.

Complaints submitted outside this period will be presumed inadmissible, unless the User can demonstrate exceptional circumstances beyond their control — such as force majeure, documented hospitalization, or technically verified Platform inaccessibility. HooLearn will assess such requests at its discretion.

For refund-related complaints specifically, the timelines set out in the Refund Policy apply.

5. COMPLAINT PROCESSING PROCEDURE

5.1 Acknowledgment of Receipt

Upon receipt of a complaint, an automated acknowledgment is sent to the User within 24 hours. This acknowledgment includes a unique reference number for tracking the complaint.

5.2 Preliminary Review

A preliminary review is conducted within 24 to 72 hours to assess:

• The formal admissibility of the complaint
• The sufficiency of the evidence provided
• HooLearn's jurisdiction to handle the matter

If the complaint is deemed inadmissible at this stage, the User is notified with a clear explanation and, where possible, guidance on alternative remedies.

5.3 Investigation

If the complaint is declared admissible, a formal internal investigation is opened. This may include:

• Analysis of the relevant course or platform materials
• Review of communication logs between the parties
• Consultation with both parties involved
• Internal audit of AI-generated or AI-assisted content where relevant
• Engagement of independent experts if required

Both parties will be informed that an investigation is underway. HooLearn commits to treating all information obtained during the investigation with strict confidentiality.

5.4 Decision

A final decision is notified to the User within 3 to 7 business days of the close of the investigation, by email to the User's registered address. The notification will include a concise explanation of the decision and the reasoning behind it.

6.1 For Learners

Depending on the nature and findings of the complaint, outcomes may include:

• Full refund of the amount paid
• Partial refund proportionate to the loss suffered
• Extended access to the course concerned
• Technical resolution of the reported problem
• Formal warning issued to the Instructor
• Disciplinary action against the Instructor where warranted
• Rejection of the complaint with a reasoned explanation

6.2 For Instructors

Depending on the nature and findings of the complaint, outcomes may include:

• Removal or correction of the offending review or content
• Formal written warning to the Learner or User concerned
• Temporary suspension of the relevant account
• Revenue hold during the investigation period
• Permanent account termination for serious misconduct
• Referral to legal authorities where a criminal offense is involved

All decisions are taken by HooLearn based on Platform policies and available evidence. Every decision is notified in writing and is subject to the appeal process set out in Section 8 below.

7. AI-GENERATED CONTENT COMPLAINTS

HooLearn integrates AI tools to assist Instructors in developing educational content. The following principles apply to complaints involving AI-generated content:

7.1 User Acknowledgment

By using the Platform, Users acknowledge that:

• AI-generated or AI-assisted content may contain minor inaccuracies.
• Instructors are solely responsible for reviewing, validating, and ensuring the compliance of all content before publication.
• HooLearn does not accept liability for minor factual errors in AI-generated content, unless those errors are materially misleading and constitute a breach of the course's stated objectives.

7.2 Transparency

In compliance with emerging algorithmic transparency requirements — including the EU AI Act (Regulation EU 2024/1689) — HooLearn commits to clearly indicating on relevant course pages when content has been partially or substantially generated using AI tools.

7.3 Complaint Handling

Complaints relating to AI content are subject to individual examination. They do not automatically entitle the complainant to a refund. A refund or remedy will only be granted where the Buyer can demonstrate that the inaccuracy is materially harmful and constitutes a breach of the commitments described in the course listing, in accordance with the Refund Policy.

8. APPEAL PROCEDURE

Any User who is dissatisfied with HooLearn's decision has the right to submit one internal appeal, subject to the following conditions:

• The appeal must be submitted within 7 calendar days of receiving the decision being challenged.
• The appeal must be based on new and relevant evidence not previously submitted during the original complaint process.
• One appeal per case is permitted. The appeal decision is final and conclusive within HooLearn's internal process.
• Appeals must be submitted via the Complaints System or by email to contact@hoolearn.net with the subject line: "Appeal — [Reference Number]".

HooLearn commits to issuing an appeal decision within 10 business days of receiving the appeal.

External Remedies

If you remain unsatisfied after exhausting the internal appeal process, the following external remedies are available:

• Cameroonian Users — recourse before the competent civil and commercial courts of Yaoundé, Republic of Cameroon, or referral to the National Agency for Information and Communication Technologies (ANTIC) for digitally related disputes.
• International Users — binding arbitration under UNCITRAL Rules, with the seat of arbitration in Yaoundé, Cameroon, conducted in English or French as agreed by the parties, as detailed in the Terms and Conditions.
• EU Users — referral to the European Commission's Online Dispute Resolution (ODR) platform, and the right to lodge a complaint with your national consumer protection authority or data protection supervisory authority.

9. ANTI-ABUSE POLICY

To preserve the integrity of the complaints system and protect all Users, HooLearn reserves the right to take corrective or disciplinary action against any User who:

• Submits repeated, abusive, or manifestly fraudulent complaints.
• Attempts to obtain refunds or remedies through dishonest or misleading means.
• Makes false allegations designed to harm other Users or Instructors.
• Submits multiple complaints concerning the same transaction without new supporting evidence.
• Uses the complaints system to harass, intimidate, or pressure another User.

Sanctions applicable in these cases include a formal written warning, temporary account suspension, permanent account termination, and where a criminal offense is involved, referral to competent judicial authorities in accordance with Cameroonian Law No. 2010/012 on Cybercrime.

10. CONFIDENTIALITY AND DATA PROTECTION

All complaints and information collected through this system are treated with strict confidentiality, in accordance with the Privacy Policy.

Data collected during the processing of a complaint is used exclusively for the purposes of handling that complaint. It is not shared with third parties except where legally or judicially required.

In accordance with the GDPR (for EU Users) and the African Union Malabo Convention, every User involved in a complaint has the right to access, correct, delete, and object to the processing of their personal data relating to the complaint. Contact contact@hoolearn.net to exercise these rights.

Complaint-related data is retained for 5 years from the date of case closure, in compliance with applicable commercial data retention obligations. After this period, data is securely deleted or anonymized.

11. UPDATES TO THIS POLICY

HooLearn reserves the right to modify this Policy at any time to reflect changes in national or international regulation, Platform developments, or community needs. Material changes will be notified to Users electronically at least 15 days before they take effect. The version in force is always the one published on the Platform at the date a complaint is submitted.

This Complaints Policy forms part of the HooLearn legal framework alongside the Terms and Conditions, Refund Policy, Privacy Policy, Code of Ethics, and License Agreement.

This Teacher Policy defines the rules, standards, obligations, and rights that govern the creation, publication, and management of educational content on the HooLearn Platform at https://hoolearn.net, operated by HooYia Co. Ltd.

It is established in compliance with Cameroonian Law No. 2010/012 on Cybersecurity, Law No. 2010/021 on Electronic Commerce, the EU General Data Protection Regulation (GDPR), and UNESCO principles on online education.

By accessing the Platform as an Instructor, you accept without reservation all provisions of this Policy. This Policy forms part of HooLearn's broader legal framework and must be read alongside the Terms and Conditions, License Agreement, Code of Ethics, Refund Policy, and Privacy Policy. In the event of any conflict, the Terms and Conditions prevail.

1. DEFINITIONS

• "Platform" — the HooLearn online service accessible at hoolearn.net, operated by HooYia Co. Ltd.
• "HooYia" — the company operating the Platform, responsible for its administration and legal compliance.
• "Instructor / Creator" — any individual or legal entity with a Creator account, authorized to design, publish, and monetize courses.
• "Learner / User" — any individual with a Platform account for the purpose of accessing training content.
• "Course" — any structured educational unit published on the Platform, comprising lessons, modules, quizzes, downloadable resources, videos, audio, or other educational content.
• "Educational Content" — all materials and resources composing a Course.
• "Certification" — the official document issued by the Platform attesting to successful course completion.
• "AI-Generated Course" — any Course designed in whole or in part using AI tools integrated with or connected to the Platform.
• "Prohibited Content" — any content contrary to applicable law, public morality, professional ethics, or this Policy.

2. BECOMING AN INSTRUCTOR

2.1 Eligibility

To become an Instructor on HooLearn, you must:

• Be an individual aged at least 18 years, or a validly incorporated legal entity.
• Have demonstrable competence, professional experience, or academic background in the subject area of your proposed course.
• Accept without reservation this Policy, the Terms and Conditions, and the Code of Ethics.
• Have the technical equipment necessary to produce quality content — recording equipment, a stable internet connection, and appropriate software.
• Not have been previously excluded from the Platform for policy violations.

2.2 Application Process

Applications for Instructor status are submitted through the official process at https://hoolearn.net/en/users/become-a-creator/. The process involves:

1. Creating or logging into a User account on the Platform.
2. Completing your pedagogical profile — biography, areas of expertise, and experience.
3. Submitting a sample course or representative extract for review.
4. Validation by the HooYia team within an indicative period of 7 business days.
5. Electronic signature of the Instructor Agreement and access to the course creation dashboard.

2.3 Suspension and Revocation

HooYia reserves the right to suspend or revoke Instructor status in the event of repeated or serious violations of this Policy, justified complaints from Learners, or breach of contractual obligations. Any revocation decision will be notified in writing with reasons provided. Instructors may contest the decision through the process set out in Section 12 below.

3. CORE TEACHING PRINCIPLES

All teaching on HooLearn must be grounded in the following principles:

3.1 Quality and Pedagogical Rigor Instructors commit to producing accurate, up-to-date, pedagogically structured content based on reliable sources. Any information that becomes inaccurate or outdated must be corrected without delay.

3.2 Accessibility and Inclusion Instructors are encouraged to adopt inclusive practices and provide materials suited to diverse audiences regardless of starting level, geography, gender, or disability. Subtitles, plain language, and accessible document formats are strongly encouraged.

3.3 Academic Integrity Plagiarism, deception, content manipulation, or falsification of any kind is strictly prohibited. Instructors must cite their sources and respect the intellectual property rights of third parties.

3.4 Respect and Dignity All pedagogical relationships between Instructors and Learners must be based on mutual respect, goodwill, and non-discrimination. Harassing, discriminatory, or disrespectful conduct is prohibited.

3.5 Innovation Instructors are encouraged to make use of the Platform's innovative pedagogical tools — including AI assistance, interactive quizzes, collaborative learning features, and multimedia resources — to deliver engaging and effective learning experiences.

4. COURSE QUALITY STANDARDS

4.1 Mandatory Course Structure

Every course published on the Platform must include:

• A clear, precise, and non-misleading title.
• A detailed description including learning objectives, prerequisites, target audience, and estimated duration.
• A structured course plan (syllabus) organized into modules and lessons.
• At least one free introductory lesson accessible to visitors without purchase.
• Supplementary resources such as written materials, references, or bibliography where applicable.
• At least one quiz or assessment per main module.
• A conclusion or synthesis lesson.

4.2 Technical Requirements

All multimedia content must meet the following minimum specifications:

• Video — minimum resolution 720p HD; MP4 format recommended; recommended lesson duration 5 to 20 minutes.
• Audio — clear quality, no excessive background noise; minimum sample rate 44.1 kHz.
• Documents — PDF format, well-structured and readable on all screen sizes.
• Images — sufficient resolution for on-screen readability; JPG, PNG, or WebP formats preferred.
• Subtitles — strongly recommended for all videos; mandatory for courses designated as accessible.

4.3 Content Updates

Instructors commit to keeping their courses current, particularly in fast-evolving fields such as technology, law, finance, and health. Courses not updated for more than 18 months may be flagged by the Platform for review.

4.4 Pre-Publication Review

Before publication, every course undergoes an internal Platform review checking:

• Compliance with the standards set out in this Policy.
• Absence of illegal, misleading, discriminatory, or plagiarized content.
• Technical quality of all materials.
• Consistency between the course description and its actual content.

The Platform has 7 business days to approve or reject a course submission, with reasons communicated for any rejection.

5. AI-GENERATED COURSES

5.1 Permitted Use

HooLearn integrates AI-powered tools to assist Instructors in generating personalized educational content. These tools are available to all registered Instructors and may be used to create or enhance course materials.

5.2 Instructor Responsibility

Every AI-generated course remains the full responsibility of the Instructor who publishes it. Instructors must:

• Review, validate, and correct all AI-generated content in full before publication.
• Clearly disclose to Learners when a course has been fully or partially AI-generated, using the "AI-Assisted Course" label visible on the course page.
• Ensure all AI-generated content is accurate, non-misleading, and compliant with this Policy.
• Never publish raw AI output without human review and validation.

5.3 Ownership of AI Content

Educational content generated using the Platform's AI tools at an Instructor's request is deemed the property of the Instructor, subject to compliance with Platform terms. HooYia retains a non-exclusive usage right for service improvement purposes, in compliance with the Privacy Policy.

5.4 Prohibited AI Uses

It is strictly prohibited to use the Platform's AI tools to:

• Generate content that violates human dignity, incites hatred, discrimination, or violence.
• Produce misleading content, disinformation, or unverified medical, legal, or financial claims.
• Circumvent the intellectual property rights of third parties.
• Generate content on behalf of another person without their knowledge or consent.

6. PROHIBITED CONTENT

The following content is strictly forbidden on the Platform:

• Content that violates applicable laws in Cameroon or any country where the Platform is accessible.
• Content that incites hatred or discrimination based on race, ethnicity, gender, religion, sexual orientation, disability, or any other legally protected characteristic.
• Pornographic, obscene, or sexually explicit material.
• Content that exploits or exposes minors in any way.
• Promotion of illegal activities including trafficking, fraud, cybercrime, or radicalization.
• Plagiarism or violation of third-party intellectual property rights.
• Manifest disinformation, unsubstantiated conspiracy theories, or pseudoscientific claims presented as fact.
• Malware, phishing links, or any other harmful digital content.
• Content that damages the reputation or image of identifiable individuals without their consent.

Violations may result in immediate content removal, account suspension or termination, and where applicable, referral to legal authorities.

7. INSTRUCTOR RIGHTS

As a registered Instructor on HooLearn, you have the right to:

• Publish courses freely in available categories on the Platform, subject to review and approval.
• Set the price of your courses freely — including offering them for free — within the Platform's pricing framework.
• Receive revenue from course sales in accordance with the revenue-sharing terms below.
• Access performance analytics through your Instructor dashboard including sales, completion rates, and Learner feedback.
• Receive technical and pedagogical support from the Platform.
• Update, modify, or withdraw your courses at any time, subject to rights already acquired by enrolled Learners.
• Be notified of any refund affecting your course revenue within 48 hours.
• Contest enforcement decisions through the process set out in Section 12.

8. INSTRUCTOR OBLIGATIONS

As a registered Instructor, you commit to:

• Guaranteeing the accuracy and legality of all content you publish.
• Responding to enrolled Learners' questions within a reasonable timeframe — recommended maximum 72 business hours.
• Updating your courses whenever there is a material change in the subject matter.
• Notifying the Platform immediately upon discovering any serious error in a published course.
• Not contacting Learners for commercial purposes outside the Platform without their explicit consent.
• Complying at all times with the Code of Ethics and this Policy.
• Disclosing any AI-generated content clearly and prominently on the course page.
• Not promoting or linking to competing platforms within course content without HooLearn's prior written consent.

9. LEARNER RIGHTS AND OBLIGATIONS

9.1 Learner Rights

Every Learner has the right to:

• Access purchased courses freely at any time and from any device.
• Receive content that matches the published course description.
• Responsive customer support for technical or pedagogical difficulties.
• Receive a completion certificate upon finishing a course, subject to the conditions in Section 10.
• Report non-compliant, inaccurate, or inappropriate content using the Platform's reporting tools.
• Exercise their personal data rights in accordance with the Privacy Policy.

9.2 Learner Obligations

Every Learner commits to:

• Using courses exclusively for personal, non-commercial purposes unless expressly authorized by the Instructor.
• Not reproducing, distributing, reselling, or sharing course content without prior written authorization.
• Behaving respectfully in all interaction spaces including forums, messaging, and comments.
• Not attempting to circumvent or alter authentication or content protection systems.
• Providing accurate information during registration and assessments.

10. ASSESSMENTS AND CERTIFICATIONS

10.1 Assessment Design Requirements

Every main module must include at least one quiz or formative assessment. Assessments must:

• Be directly linked to the learning objectives of the relevant module.
• Not contain misleading, ambiguous, or irrelevant questions.
• Display clear grading criteria and pass marks to Learners.
• Allow a minimum of three attempts per assessment.

10.2 Assessment Integrity

Any fraud, cheating, or manipulation of assessment results is strictly prohibited and may result in certificate cancellation and account suspension.

10.3 Certification Conditions

A completion certificate is issued automatically when the Learner has:

• Completed 100% of the course lessons.
• Passed all assessments with the minimum grade set by the Instructor (default: 70%).
• Satisfied any specific conditions or deadlines set by the Instructor.

Certificates carry a unique verifiable identifier. Falsification of certificates constitutes a criminal offense under Cameroonian and international law. HooYia reserves the right to revoke any certificate where fraud is established.

11. PRICING AND REVENUE SHARING

11.1 Pricing Freedom

Instructors set the price of their courses freely in USD or any other currency supported by the Platform. Free courses are permitted and encouraged to promote accessibility to education.

11.2 Revenue Share

HooLearn retains a platform commission of 30% on revenue generated by each course. The remaining 70% is paid to the Instructor. This split is indicative and may be revised by HooLearn with at least 30 days' prior written notice to active Instructors. The full payment schedule, minimum payout thresholds, and payment methods are set out in your Instructor Agreement.

11.3 Revenue Hold for Refund Protection

To protect both Instructors and the Platform, Instructor earnings are held for 14 days before payout. This allows refunds to be deducted from pending balances rather than from amounts already paid out. Where earnings have already been paid out and a refund is subsequently granted, the refund amount is deducted from future earnings.

11.4 Impact of Refunds on Instructor Revenue

When a Learner is granted a refund on your course, the refunded amount is deducted directly from your pending or future earnings as follows:

• If the refund occurs before your earnings are paid out — the amount is automatically deducted from your pending balance before disbursement.
• If the refund occurs after your earnings have already been paid out — the amount is deducted from your next earnings payment. If that payment is insufficient to cover the full deduction, the remainder carries forward to subsequent payments until fully recovered.
• You will receive an email notification within 48 hours of any refund being granted on your course, detailing the course name, refund amount, and your adjusted earnings figure.

Refund Rate Monitoring

HooLearn tracks the refund rate of every course on a rolling 90-day basis. Your refund rate is calculated as:

(Number of refunds granted ÷ Total enrollments) × 100 — over the past 90 days

Where your refund rate exceeds 15%, HooLearn will notify you in writing and you will have 30 days to submit and implement a content improvement plan. During this review period your course may be temporarily delisted from search results and promotional placements. If no corrective action is taken within 30 days, the course may be permanently removed from the catalogue.

The most common causes of a high refund rate are a mismatch between the course description and its actual content, outdated or inaccurate information, poor audio or video quality, and insufficient depth relative to the stated course level. Addressing these proactively protects both your earnings and your standing on the Platform.

Disputed Refunds

If you believe a refund was granted incorrectly or in bad faith — for example where a Learner consumed a substantial portion of your course before requesting a refund — you may dispute the decision through the Complaints & Appeals System within 7 days of receiving the refund notification. HooLearn will review the case and, if the dispute is upheld, restore the deducted amount to your earnings.

11.5 Tax Responsibility

Each Instructor is solely responsible for any tax obligations arising from their revenue in their jurisdiction. HooLearn may collect and remit applicable taxes as required by law.

12. SANCTIONS AND DISCIPLINARY PROCEDURE

12.1 Minor Violations

For minor violations — such as failure to meet technical standards, delayed course updates, or slow Learner response times — the Platform will issue a written warning with a specified remediation deadline.

12.2 Serious Violations

For serious violations — including publication of prohibited content, plagiarism, fraud, or personal data breaches — HooYia may without prior notice:

• Immediately remove the offending content.
• Temporarily or permanently suspend the Instructor account.
• Withhold pending revenue during the investigation period.
• Refer the matter to competent legal authorities where a criminal offense is involved.

12.3 Contesting a Decision

Any Instructor subject to a disciplinary decision may contest it within 15 business days of receiving notification, by submitting a written appeal with supporting reasons to contact@hoolearn.net with the subject line: "Appeal — [Username]". HooYia commits to responding within 30 days. Appeals may also be submitted through the Complaints & Appeals System.

13. INTELLECTUAL PROPERTY

13.1 Instructor Rights

Instructors retain full intellectual property rights over the content they create. By publishing a course, Instructors grant HooYia a non-exclusive, worldwide license to distribute, reproduce, and commercialize the course strictly within the operation of the Platform, for the duration the course remains published.

13.2 Platform Rights

The HooLearn brand, logo, Platform architecture, interfaces, pedagogical tools, software, and all distinctive elements are the exclusive property of HooYia. Unauthorized reproduction or use is prohibited.

13.3 Learner Rights

Learners receive a strictly personal and non-transferable right of access to purchased courses. Reproduction, distribution, resale, or transmission of course content to third parties in any form without written authorization from the Instructor and the Platform is prohibited.

13.4 Reporting IP Violations

Copyright violation reports must be submitted in writing to contact@hoolearn.net with the subject line "IP Violation", specifying the works concerned, their location on the Platform, and evidence of rights ownership. HooYia commits to reviewing all reports within 14 business days.

14. DATA PROTECTION

The processing of Instructor and Learner personal data is governed by the Privacy Policy, which complies with the GDPR, Cameroonian cybercrime law, and applicable international regulations. Pedagogical data — including course progress, assessment results, and certifications — is collected and processed exclusively for the operation of the Platform and is not sold to third parties.

15. UPDATES TO THIS POLICY

HooYia reserves the right to modify this Policy at any time to reflect legal, regulatory, or operational changes. Material changes will be notified to Instructors by email and Platform notification with a minimum of 30 days' prior notice. Continued use of the Platform after the effective date constitutes acceptance of the updated Policy.

16. GOVERNING LAW AND DISPUTE RESOLUTION

This Policy is governed by the laws of the Republic of Cameroon, including Law No. 2010/012 on Cybersecurity, Law No. 2010/021 on Electronic Commerce, and Law No. 2000/011 on Copyright. For Instructors in other jurisdictions, applicable regulations including the GDPR apply supplementarily.

Disputes are subject first to a good-faith resolution attempt within 60 days of notification of the dispute. If unresolved, international disputes proceed to ICC arbitration as detailed in the Terms and Conditions. Domestic disputes are subject to the jurisdiction of the competent courts of Yaoundé, Republic of Cameroon.
