Welcome to HooLearn, an intelligent online learning marketplace operated by HooYia Co. Ltd., a company established under the laws of the Republic of Cameroon, with its registered office in Bafoussam, West Region, Cameroon. HooLearn connects learners and instructors through high-quality educational content, AI-powered tools, and globally recognized certifications.
By accessing or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions. If you do not agree, you must cease using the Platform immediately.

1. DEFINITIONS
The following terms have specific meanings throughout this document:
- "Platform" — the HooLearn website, mobile applications, APIs, and all related services available at https://hoolearn.net.
- "Company" — HooYia Co. Ltd., the owner and operator of HooLearn.
- "User" — any individual or entity that accesses or uses the Platform, including Learners and Instructors.
- "Learner" — a User who enrolls in and consumes courses on the Platform.
- "Instructor" — a User who creates, publishes, and manages courses on the Platform.
- "Content" — all courses, videos, audio, text, quizzes, assessments, and any other digital materials on the Platform.
- "AI-Generated Content" — educational materials created or assisted by artificial intelligence tools.
- "Course" — a structured educational program offered by an Instructor on the Platform.
- "Account" — a registered User profile on HooLearn.
- "Subscription" — a recurring paid plan granting access to Platform features for a defined period.
2. NATURE OF THE PLATFORM
HooLearn operates as an online learning marketplace. The Company provides infrastructure for hosting and distributing Content but does not own or control all courses created by Instructors. Instructors are independent content creators and are solely responsible for the accuracy, legality, and quality of their materials.
We reserve the right to modify, suspend, or discontinue any feature, service, or course listing at any time, with reasonable notice where practicable.
3. USER ACCOUNTS
3.1 Eligibility
You must be at least 18 years old to create an Account and use the Platform. Users under 18 may access the Platform only with verifiable parental or guardian consent, and the consenting adult assumes full legal responsibility for the minor's use of the Platform.
3.2 Account Responsibilities
By creating an Account, you agree to:
- Provide accurate, current, and complete registration information.
- Maintain and promptly update your information to keep it accurate.
- Maintain the confidentiality of your login credentials.
- Accept responsibility for all activities conducted under your Account.
- Notify HooLearn immediately at contact@hoolearn.net of any unauthorized use or security breach.
HooLearn is not liable for any losses or damages arising from your failure to comply with these obligations.
3.3 Account Termination
We reserve the right to suspend or permanently terminate your Account, without prior notice, if you:
- Violate any provision of these Terms or any referenced policy.
- Engage in fraudulent, abusive, or illegal behavior.
- Misuse the refund system or file fraudulent payment disputes.

4. COURSES AND ENROLLMENT
Upon purchasing a Course, you are granted a limited, personal, non-transferable, non-sublicensable license to access and view the Course content for personal, non-commercial purposes only.
- Course availability is subject to change. HooLearn may remove or modify Courses at its discretion.
- Certificates of completion are issued where applicable and do not constitute accredited academic qualifications unless expressly stated.
- HooLearn does not guarantee any specific learning outcomes, employment, career advancement, or professional recognition.
- Sharing, redistributing, or reselling course access to third parties is strictly prohibited.
5. PAYMENTS, PRICING, SUBSCRIPTIONS, AND REFUNDS
5.1 Payments
All payments are processed securely through third-party payment processors. By completing a purchase, you authorize HooLearn to charge your selected payment method for the full purchase amount. HooLearn is not responsible for errors or failures caused by third-party payment processors.
5.2 Pricing
Prices are displayed in USD unless otherwise specified. HooLearn reserves the right to change pricing at any time. Applicable taxes may be added at checkout depending on your jurisdiction. You are responsible for any taxes applicable to your purchase.
5.3 Subscriptions and Auto-Renewal
HooLearn may offer subscription-based access to courses or platform features. Where applicable:
- Subscriptions automatically renew at the end of each billing period unless cancelled beforehand.
- You will be notified of any price changes before your next renewal.
- Cancellation of a subscription takes effect at the end of the current billing period. You retain access until that date.
- Free trials automatically convert to paid subscriptions at the end of the trial unless cancelled.
- To cancel, visit your Account settings or contact support at contact@hoolearn.net.
5.4 Refund Policy
Refund requests are governed by our full Refund Policy and Refund Process. Key terms include:
- Refund requests are accepted within 14 days of purchase, provided less than 30% of the course content has been accessed.
- Subscription fees are non-refundable once a billing cycle has commenced, except where required by applicable consumer protection law.
- Abuse of the refund system — including repeated refund requests or fraudulent chargebacks — may result in permanent account suspension.
- HooLearn reserves the right to deny refund requests that do not meet the stated criteria.
6. INSTRUCTOR TERMS
6.1 Instructor Responsibilities
Instructors must comply with these Terms, our Teacher Policy, and our Code of Ethics. By publishing a Course, Instructors agree to:
- Ensure all content is accurate, lawful, and does not infringe any third-party rights.
- Own or hold all necessary rights and licenses for materials used in their courses.
- Maintain educational standards and respond to learner feedback.
- Disclose any use of AI-generated content within their courses.
- Not engage in misleading marketing or inflate course metrics fraudulently.
6.2 Revenue Sharing
Instructors earn revenue in accordance with HooLearn's Revenue Share Model, as detailed in the Teacher Policy. Revenue shares are calculated based on the sales channel (organic, promotional, or subscription) and are subject to change with 30 days' notice to active Instructors.
6.3 License to HooLearn
By publishing a Course, Instructors grant HooLearn a worldwide, non-exclusive, royalty-free, sublicensable license to host, reproduce, distribute, translate, promote, and display their content for the purposes of operating and marketing the Platform. This license remains in effect as long as the course is published on HooLearn.
6.4 Content Removal
HooLearn reserves the right to remove or delist any Course at its discretion, including where the content is found to violate these Terms, applicable law, or community standards. Instructors will be notified where reasonably practicable.
7. INTELLECTUAL PROPERTY
All Platform infrastructure, branding, software, trademarks, logos, and proprietary materials are the property of HooLearn or its licensors and are protected by applicable intellectual property laws.
Users may not:
- Copy, reproduce, or redistribute Content without explicit written authorization.
- Reverse engineer, decompile, or attempt to extract the source code of the Platform.
- Resell, sublicense, or commercially exploit any Content or Platform feature.
- Remove or alter any copyright, trademark, or proprietary notices.
Course content licenses are governed by the HooLearn License Agreement.
8. ARTIFICIAL INTELLIGENCE AND AI-ASSISTED CONTENT
HooLearn integrates artificial intelligence to enhance learning experiences and support course creation. By using AI-powered features, you acknowledge and agree that:
- AI-generated content may contain inaccuracies, errors, or outdated information and should not be treated as authoritative.
- AI-generated content does not constitute professional, legal, medical, financial, or any other regulated advice.
- Users are solely responsible for verifying the accuracy and appropriateness of AI-generated materials before relying on them.
- Instructors must clearly disclose when course content has been substantially generated or assisted by AI tools.
- HooLearn is not liable for decisions made on the basis of AI-generated content.
For courses covering sensitive domains such as healthcare, law, finance, or mental health, content should only be provided by qualified professionals, and AI-generated content in these areas must be reviewed and approved by the relevant subject matter expert.
9. ACCEPTABLE USE POLICY
All Users must comply with these Terms and our Code of Ethics. The following behaviors are strictly prohibited:
- Engaging in fraudulent, deceptive, or illegal activities on or through the Platform.
- Uploading, posting, or transmitting harmful, defamatory, obscene, or offensive content.
- Infringing the intellectual property rights of any third party.
- Attempting unauthorized access to any part of the Platform, other user accounts, or backend systems.
- Distributing malware, spam, phishing links, or other malicious code.
- Impersonating any person or entity, or misrepresenting your affiliation.
- Harvesting or scraping user data from the Platform without authorization.
- Using the Platform to promote external competing services without consent.
Violations may result in immediate account suspension or termination, and may be referred to appropriate legal authorities where warranted. To report a violation, visit our Complaints System.
10. CONTENT MODERATION AND APPEALS
HooLearn monitors the Platform for content that violates these Terms or our community standards. Our content moderation process includes:
- Automated detection of prohibited content categories.
- Human review of flagged content by the HooLearn Trust & Safety team.
- Notification to the relevant User of any enforcement action taken.
Users and Instructors who believe an enforcement action was taken in error may submit an appeal through the Complaints & Appeals System. Appeals are reviewed within 10 business days. HooLearn's decision following an appeal is final unless otherwise required by applicable law.
11. PRIVACY AND DATA PROTECTION
Your use of the Platform is governed by our Privacy Policy, which is incorporated by reference into these Terms. Key principles include:
- We collect only the data necessary to operate the Platform and improve your experience.
- You have rights to access, correct, delete, and port your personal data, subject to applicable law.
- We do not sell your personal data to third parties.
- Data may be processed in countries outside Cameroon, in compliance with applicable data transfer requirements.
HooLearn complies with applicable data protection frameworks including the GDPR (EU), the Cameroon Law No. 2010/012 on Cybersecurity and Cybercrime, and the African Union Convention on Cyber Security and Personal Data Protection.

12. THIRD-PARTY SERVICES
The Platform integrates third-party services including payment gateways, analytics providers, cloud hosting infrastructure, and AI tool providers. HooLearn is not responsible for the privacy practices, terms, or conduct of these third parties. We encourage you to review the terms of any third-party services you interact with through the Platform.
13. DISCLAIMERS
The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. HooLearn expressly disclaims any warranties regarding:
- The accuracy, completeness, or reliability of any course content or AI-generated material.
- Uninterrupted or error-free access to the Platform.
- The fitness of content for any particular purpose or professional application.
- Any specific learning, career, or income outcomes arising from use of the Platform.
Nothing in these Terms limits your statutory rights as a consumer under applicable law.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, HooLearn, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of the Platform.
Our total aggregate liability for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the total amount paid by you to HooLearn in the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded under applicable consumer protection law.
15. DISPUTE RESOLUTION
15.1 Internal Resolution
We encourage Users to first attempt to resolve disputes through our Complaints System. Our team will aim to respond within 10 business days.
15.2 Arbitration for International Users
For Users outside Cameroon, any dispute that cannot be resolved internally shall be finally settled by binding arbitration under the Rules of the International Chamber of Commerce (ICC). The place of arbitration shall be Yaoundé, Cameroon. The language of arbitration shall be English or French. The arbitral award shall be final and binding.
15.3 Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Cameroon. For Users who are residents of the European Union or other jurisdictions with mandatory consumer protection laws, the application of those laws is not excluded. For domestic (Cameroon-based) disputes, the competent courts of Cameroon shall have exclusive jurisdiction.
16. TERMINATION
HooLearn may suspend or terminate your access to the Platform at any time for violations of these Terms or for any other reason at our reasonable discretion. Upon termination:
- Your right to access the Platform and any purchased Courses ceases immediately.
- Any outstanding payment obligations you have incurred remain due.
- Provisions that by their nature survive termination (including IP, limitation of liability, and dispute resolution) shall remain in effect.
You may also terminate your Account at any time by contacting contact@hoolearn.net.
17. MODIFICATIONS TO THESE TERMS
HooLearn reserves the right to update or modify these Terms at any time. Where changes are material, we will notify registered Users via email or prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform following the effective date constitutes your acceptance of the revised Terms.
18. ACCESSIBILITY
HooLearn is committed to digital inclusivity. Our Accessibility Statement describes our current compliance with WCAG 2.1 Level AA standards and our roadmap for improvement. If you encounter an accessibility barrier, please contact us at contact@hoolearn.net and we will endeavour to provide a resolution within a reasonable timeframe.
19. FORCE MAJEURE
HooLearn shall not be liable for any delay or failure to perform its obligations where such failure results from events beyond its reasonable control, including natural disasters, acts of government, war, civil unrest, epidemics, pandemics, cyberattacks on infrastructure, power failures, or telecommunications disruptions. HooLearn will use reasonable efforts to minimize the impact of any such event and resume normal operations as soon as practicable.
20. ENTIRE AGREEMENT
These Terms, together with all policies referenced herein, constitute the entire agreement between you and HooLearn with respect to your use of the Platform and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
